TERMS OF SERVICE AND SOFTWARE LICENSE AGREEMENT

  1. OVERVIEW AND ACCEPTANCE

These Terms of Service and Software License Agreement (“Terms”) govern your access to the AllTradesOS website, store, downloadable products, software-enabled workbooks, templates, guides, videos, and related materials (collectively, the “Digital Products”).

Throughout these Terms, “AllTradesOS,” “we,” “us,” and “our” refer to AllTradesOS. “You” and “your” refer to the purchaser or user of the website or Digital Products.

By visiting this website, submitting an order, downloading, accessing, installing, or using a Digital Product, you agree to these Terms and our published Return and Refund Policy and Privacy Policy. If you purchase on behalf of a business, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, do not purchase, download, access, or use the Digital Products.

You must be at least the age of majority in your jurisdiction and legally capable of entering into a binding agreement.

  1. DIGITAL PRODUCTS

AllTradesOS sells electronically delivered digital products. No physical product will be shipped unless a product listing expressly states otherwise.

Product descriptions, included files, prices, compatibility requirements, and other material terms displayed at the time of purchase form part of your agreement with us.

The AllTradesOS Welding Quote & Profit Calculator includes a Microsoft Excel workbook and related instructional materials. It is a business pricing and quoting tool—not a bookkeeping service, accounting system, professional advisory service, or guarantee of business performance.

  1. SYSTEM REQUIREMENTS AND COMPATIBILITY

The AllTradesOS Welding Quote & Profit Calculator is built and supported for the installed Microsoft Excel desktop application on a desktop or laptop computer.

It is not supported in:

• Google Sheets
• Excel for the web
• Excel mobile
• Apple Numbers
• LibreOffice

It is not designed or supported for use on phones or tablets.

You are responsible for confirming that you have the required software, device, and technical environment before purchasing. Microsoft Excel, Microsoft 365, computer hardware, internet service, and other third-party products or services are not included with your purchase.

  1. ORDERS, PRICING, AND PAYMENT

You agree to provide accurate, current, and complete billing, contact, and order information.

Prices are displayed in the currency shown at checkout. Applicable taxes may be added or collected as required by law.

We reserve the right to reject or cancel an order when reasonably necessary because of suspected fraud, unauthorized payment, pricing or technical errors, attempted unauthorized resale, or other unlawful activity. If we cancel a paid order before providing access, we will refund the amount collected.

  1. DIGITAL DELIVERY

After successful payment, download access is generally provided electronically through the email address entered at checkout, the order-confirmation page, or both.

You are responsible for entering a valid email address, checking spam or junk folders, downloading the files within the available access period, and retaining a secure backup.

Unless otherwise stated, access to the AllTradesOS Welding Quote & Profit Calculator download may be limited to five downloads. This delivery limit does not expand the number of businesses authorized to use the Digital Product.

If you do not receive access or experience a legitimate download problem, contact support@alltradesos.com.

  1. SOFTWARE LICENSE GRANT

Subject to full payment and compliance with these Terms, AllTradesOS grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased version of the Digital Product for one individual business, company, or sole proprietorship (the “Licensed Business”).

This license allows the Licensed Business to:

• Install and use the Digital Product on a reasonable number of compatible computers owned or controlled by the Licensed Business.
• Permit the owner and employees of the Licensed Business to use it for that business’s internal operations.
• Permit a contractor working for the Licensed Business to use it solely on behalf of that business, provided the contractor does not retain, share, or use the Digital Product for any other person or business.
• Enter business information and job data into designated input areas.
• Add permitted business branding and make other customizations specifically supported by the Digital Product.
• Create, export, print, and send completed customer quotes and related outputs in the normal operation of the Licensed Business.
• Make a reasonable backup copy for recovery purposes.

The license continues for the purchased version unless terminated under these Terms. A one-time purchase means there is no recurring subscription charge for that version. It does not transfer ownership of the Digital Product or automatically include future products, major versions, custom modifications, or upgrades unless expressly stated.

A separate license is required for each separate business using the Digital Product.

  1. LICENSE RESTRICTIONS

Except where applicable law expressly permits otherwise, you may not:

• Sell, resell, license, sublicense, rent, lease, distribute, give away, or transfer the Digital Product or any portion of it.
• Share the workbook, guide, walkthrough video, download link, or source files with another business or unauthorized person.
• Upload or store the Digital Product somewhere that allows access by unauthorized users.
• Use one purchase to provide the Digital Product for multiple businesses, clients, partners, affiliates, or unrelated companies.
• Repackage, white-label, publish, or distribute the Digital Product as your own product.
• Use the Digital Product or its formulas, structure, design, documentation, or instructional materials to create or assist in creating a competing product or service.
• Bypass protection features or extract, disclose, reverse engineer, or reproduce protected formulas, calculation logic, workbook architecture, or source materials, except to the limited extent such a restriction cannot legally be enforced.
• Remove or conceal copyright, trademark, branding, attribution, or ownership notices.
• Use the Digital Product or website for unlawful, fraudulent, malicious, or infringing activity.

Permitted entry of data, supported branding, and normal use of unlocked workbook areas do not violate this section.

  1. OWNERSHIP AND INTELLECTUAL PROPERTY

AllTradesOS and its licensors retain all ownership rights in the Digital Products, including the workbook structure, protected formulas, calculation methods, templates, visual design, written content, Quick-Start Guide, walkthrough video, branding, graphics, and other materials.

Your purchase provides a license to use the Digital Product. It does not sell or transfer the underlying copyright, trademark, trade dress, formulas, systems, or other intellectual property.

You retain ownership of the business information and job data you enter. You may use and distribute completed quotes and other final outputs generated for the Licensed Business’s customers, subject to these Terms.

If you voluntarily provide files or information to us for support, you authorize us to access and use that material only as reasonably necessary to investigate and respond to the support request. You remain responsible for removing confidential customer information when it is not necessary for support.

  1. USER RESPONSIBILITY AND ESTIMATED OUTPUTS

All calculations and outputs are estimates based on the information, assumptions, settings, and decisions entered by the user.

The Digital Product does not decide what you must charge and does not guarantee any particular:

• Profit or profit margin
• Accepted quote or completed sale
• Revenue, income, cash flow, or business result
• Cost estimate or actual job cost
• Customer payment or project outcome

You are responsible for:

• Entering accurate and complete information.
• Reviewing calculations and outputs before relying on them.
• Confirming material, labor, overhead, equipment, tax, contingency, and other assumptions.
• Reviewing every customer quote before printing, exporting, or sending it.
• Maintaining appropriate records and backups.
• Complying with laws, regulations, contracts, taxes, licensing requirements, engineering standards, and safety obligations applicable to your business and projects.

The Digital Product does not provide tax, legal, accounting, financial, engineering, insurance, employment, or safety advice. Consult qualified professionals when appropriate.

  1. SUPPORT, CORRECTIONS, AND UPDATES

Support for the Digital Product is available at support@alltradesos.com.

Support is limited to reasonable assistance concerning delivery, file access, documented workbook operation, and material product defects in the supported environment.

Support does not include professional bookkeeping, accounting, tax or legal advice, custom workbook development, general Microsoft Excel training, business consulting, recovery of customer data, or troubleshooting in unsupported applications or devices.

We may provide corrections, maintenance releases, replacements, or updated instructions at our discretion or as required by applicable law. We do not guarantee that every purchased version will receive future features, major upgrades, or indefinite compatibility with future versions of third-party software.

  1. RETURNS AND REFUNDS

Purchases are governed by the AllTradesOS Return and Refund Policy available at:

If a full refund is issued, the license granted under these Terms ends. You must stop using and delete all copies of the refunded Digital Product, except where applicable law provides otherwise.

Nothing in these Terms limits any refund, repair, replacement, cancellation, withdrawal, or other remedy that cannot legally be waived.

  1. THIRD-PARTY PRODUCTS AND SERVICES

The website and Digital Products may depend on or refer to third-party products or services, including Microsoft Excel, Shopify, payment processors, internet providers, or computer operating systems.

Those products and services are controlled by their respective providers and may be governed by separate terms. We are not responsible for third-party outages, changes, discontinued features, account restrictions, or compatibility changes outside our control.

Microsoft and Excel are trademarks of the Microsoft group of companies. AllTradesOS is independent and is not affiliated with, sponsored by, or endorsed by Microsoft.

  1. WEBSITE AND STORE USE

You may not interfere with the security or operation of the website, introduce malicious code, attempt unauthorized access, scrape or harvest information unlawfully, impersonate another person, submit fraudulent orders, or use the website in a way that violates applicable law or another person’s rights.

Store content—including product descriptions, graphics, branding, photographs, videos, and written materials—is owned by or licensed to AllTradesOS and may not be reproduced or used commercially without permission.

  1. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website and Digital Products are provided “as is” and “as available.”

Except for remedies expressly provided in our Return and Refund Policy or required by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

We do not warrant that the Digital Product will meet every individual business requirement, remain compatible with every future software update, or produce error-free results when supplied with inaccurate, incomplete, or unsuitable inputs.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent legally permitted.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, AllTradesOS will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, lost data, business interruption, rejected quotes, underpriced work, overestimated work, customer disputes, or decisions made using the Digital Product.

To the fullest extent permitted by law, AllTradesOS’s total aggregate liability arising from a Digital Product or these Terms will not exceed the amount you paid for the specific Digital Product giving rise to the claim.

These limitations do not exclude liability that cannot legally be excluded, including liability arising from fraud, willful misconduct, or any other matter for which limitation is prohibited by applicable law.

  1. TERMINATION

You may end your license by permanently deleting all copies of the Digital Product.

We may suspend access or terminate the license if you materially violate these Terms, distribute the Digital Product without authorization, use it unlawfully, or fail to complete valid payment. When reasonably appropriate, we may provide notice and an opportunity to cure the violation.

The license also ends if the purchase is fully refunded or the payment is validly reversed.

Upon termination, you must stop using and delete all copies of the Digital Product. Sections concerning ownership, restrictions, disclaimers, liability, governing law, and other provisions that by their nature should survive will remain effective.

  1. PRIVACY

Our handling of personal information is governed by the AllTradesOS Privacy Policy available at:

You are responsible for protecting personal or confidential information entered into the workbook, included in customer quotes, stored on your devices, or submitted in a support request.

  1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our products, business practices, technology, or legal obligations.

Updated Terms will be posted with a revised “Last updated” date. Changes generally apply prospectively. The license terms in effect when you purchase a Digital Product will continue to govern that purchased version unless a change is required by law, addresses security or abuse, or you expressly accept the updated Terms.

  1. GOVERNING LAW AND MANDATORY RIGHTS

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Nothing in these Terms deprives a consumer of mandatory protections available under the laws of the consumer’s place of residence. Any dispute may be brought before a court that has lawful jurisdiction under applicable law.

  1. GENERAL TERMS

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum lawful extent and the remaining provisions will remain effective.

A failure to enforce any provision is not a waiver of that provision.

You may not transfer your license or rights under these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, sale, or transfer of the AllTradesOS business or relevant assets.

These Terms, together with the applicable product listing, order confirmation, Return and Refund Policy, and Privacy Policy, constitute the entire agreement concerning your purchase and use of the Digital Product.
